SVB is currently seeking candidates for the position of General Counsel, SVB Private to lead and oversee the legal affairs of SVB Private and to manage the legal team that supports the business, which is composed of registered investment adviser (SVB Wealth LLC), registered broker dealer (SVB Investment Services Inc) and banking (Silicon Valley Bank) products and services. The position will work closely with and advise our President of SVB Private in a wide range of relevant areas, including wealth management, private lending, consumer products, trust and fiduciary services, advisor hiring, risk and compliance, regulatory, governance, administration, operations and other areas. The successful candidate must have strong legal and leadership experience with respect to LFI risk and compliance. The candidate should have considerable experience advising investment advisory and broker dealer businesses on business growth, strategy, and issues under the Investment Advisers Act as well as the Exchange Act.
This position is ideally located in New York (New York City) or California (Menlo Park or San Francisco; or other locations near an SVB office.
The position will report to the General Counsel of SVB Financial Group and will be part of the leadership teams of SVB Private and SVB Legal.
Primary Responsibilities:
  • Oversee all legal matters for the banking, brokerage and investment advisory/wealth management businesses of SVB Private
  • Lead and manage a team of 2 attorneys
  • Proactively advise the business leadership team on legal and regulatory matters pertaining to the business, including strategy, compliance, operations, policies, governance, employment, compensation and risk management.
  • Set the legal strategy, priorities and goals in alignment with business strategy
  • Engage with regulators, including the Federal Reserve, SEC and FINRA; expertise in compliance obligations applicable to SEC and FINRA registrants
  • Advise on reporting to the Executive Committee and the Board of Directors of the parent company, SVB Financial Group
  • Serve as a member of the Legal and SVB Private leadership teams
  • Support other projects for the Legal department as necessary, as well as contributing to the development of the team’s best-in-class practices.
Skills/Qualifications:
  • 18+ years of experience (either in-house at a relevant Private Bank/Wealth Management business or top tier law firm),
  • J.D. from a top tier school and excellent academic credentials
  • Active membership in good standing in at least one state bar, preferably California or New York
  • Substantive expertise in brokerage, investment advisory and related legal and regulatory areas
  • Expert knowledge of Investment Advisers Act of 1940, the Securities and Exchange Act of 1934, Investment Company Act of 1940, Securities Act of 1933, Regulation Best Interest, ERISA, Form ADV, Form CRS
  • Leadership and Ability to Influence. We are searching for a seasoned business attorney with a proven track record of impacting a fast-paced business and advising/influencing senior leaders. Equally important is the demonstrated ability to lead, manage and develop a team of outstanding lawyers.
  • Solutions-oriented and creativity to help solve problems quickly in a commercial-minded manner.
  • Vision and drive. A strong sense of strategic vision, coupled with a willingness to roll up sleeves to facilitate business growth, is essential.
  • Flexibility, empathy and adaptability, which will allow you to lead or collaborate effectively with colleagues in Legal, the business and our compliance and risk functions to implement practical, risk-calibrated solutions.

Base Pay:
$325,103.00 - $487,655.00
Actual starting base pay will be determined on skills, experience, and other non-discriminatory factors permitted by law. Total compensation may also include variable incentives, bonuses, benefits, and/or other perks, as outlined in any formal offer made.
