Responsibilities and practice
The Birmingham office of Dentons Sirote is seeking an experienced Paralegal to join our Corporate and Securities practice groups. The person hired for this position will work closely with our attorneys and other staff members to assume such responsibilities as:
- Draft and modify LLC documents and agreements
- Assist attorneys with due diligence
- Conduct general research and handle matters relevant to clients, with an expertise in corporate formation (for profit, non-profit, limited liability), non-profit solicitations and fund-raising and political activities
- Prepare execution copies of documents for clients and coordinate obtaining signatures from clients; attend client meetings away from the office to assist with execution of documents
- Handle corporate and securities filings
- Review and proof legal documents, contracts and agreements to ensure consistency and defined terms are used properly
- Assist with corporate filings, including formation and dissolution of corporations, partnerships, and limited liability companies
- Conduct research and analysis of legal issues related to corporate law and business transactions
- Maintain corporate records and manage document databases
- Assist with regulatory compliance, including preparing and filing securities and other regulatory reports
- Draft and review legal correspondence, agreements, and other legal documents
- Manage and maintain client relationships and communications

Minimum Qualifications
- Bachelor’s degree in related field or certificate from an accredited paralegal program is preferred.
- Minimum of three years of related corporate experience.
- Must have excellent oral and written communication skills.
- Must have excellent organizational skills.
