About the Role: We are looking for a mid-level or senior corporate paralegal or professional with equivalent experience to join our Office of the Corporate Secretary. Our corporate governance/administration team is a small, high contributing team with diverse responsibilities. We provide varied levels of corporate secretarial support for Gore’s U.S. headquartered parent company, and each of Gore’s global affiliates located in approximately 30 countries. We will be looking to this person to take the lead in a few core areas, while playing a supportive role in other areas as needed. The successful candidate will grow into a global commitment, helping to support the corporate infrastructure for our global enterprise.

This position offers multiple work arrangements: on-site at our facility in Newark, Delaware, hybrid or fully remote work allowed in most locations within the United States, depending upon the responsibilities of the role and business needs.*

Responsibilities:

  • Prepare routine board and shareholder corporate approvals and related filings to maintain compliance with corporate laws for wholly-owned subsidiaries, cross jurisdictionally. Resolutions and unanimous written consents include annual meetings, dividends, banking resolutions, director and officer appointments, and the like
  • Manage and maintain our official and digital corporate minutes books adhering to local protocols and leveraging the CSC Entity Management System
  • Maintain compliance calendars and annual report filings
  • Work with and direct global corporate secretarial service provider and outside corporate counsel to facilitate drafting and recordation of corporate documentation in implicated jurisdictions
  • Respond to inquiries for standard corporate information from various teams across the Enterprise
  • Maintain CSC Entity Management System, including record retention, data field population, entity creation, and user administration with continuous goal of optimizing data integrity and system efficiency
  • Prepare, review, analyze, and organize key corporate documents and records
  • Collaborate in the development of and support efforts to automate routine work streams and processes to enable efficient, accurate, and timely processing of corporate secretarial activities
  • Identify, draft/review, and coordinate the execution of corporate documentation required in connection with various corporate activities

Required Qualifications:

  • Minimum of three years high volume multi-jurisdictional corporate paralegal work experience OR equivalent education
  • Competency drafting and reviewing business entity organizational documents, board and shareholder resolutions, and routine corporate documentation
  • Proficient in Microsoft Office/Adobe applications
  • Detail oriented and ability to prioritize among multiple competing projects
  • Comfortable working independently as well as in a team environment
  • Strong written and oral communication skills
  • Strong organizational skills
  • A strong sense of ownership of work and ability to problem solve in ambiguous and unfamiliar situations
  • Ability to maintain strict confidentiality
  • Ability to travel up to 10%

Desired Qualifications:

  • Familiarity with corporate law in one or more jurisdictions, especially outside the U.S. (OUS); proficiency reviewing corporate statutes
  • Experience working with cross functional and international teams, including tax, treasury, audit, accounting and finance
  • Experience administering and using a business entity management platform and processing notarization, apostilling and other legalization of foreign documents
  • Remote Working Arrangements are permitted for Associates in the continental United States (US) and Canada, with appropriate approval and compliance with Gore’s remote working policies, from the country in which they are employed. For fully remote roles, the following locations are not eligible for new fully remote work arrangements: Alaska and Hawaii (for all roles), and Rhode Island (for wage/hourly roles only).
