The Senior Attorney will be responsible for providing legal support to the U.S. wholesale entity of ENGIE’s Global Energy Management & Sales (GEMS) business platform. GEMS provides energy supply solutions and risk management services to support its clients through their decarbonization journey, while optimizing ENGIE’s assets and contributing to value creation.


This position is located in Houston, Texas and reports to the General Counsel, ENGIE Energy Marketing NA, Inc.


What you’ll do:

  • Develop and execute comprehensive legal strategies and solutions to lawfully facilitate GEMS’s commercial objectives while mitigating associated legal and other risks
  • Draft, review and negotiate:
    • Master Agreements (e.g., NAESB, ISDA and REC agreements, together with relevant annexes) for various commodities and related derivatives (i.e., power, gas, emissions)
    • Long-term renewable power purchase agreements
    • Secured energy supply and credit facilities for retail electric providers
    • Other energy contracts (i.e., energy management agreements, hedging contracts, responsibly sourced gas agreements, gas storage and transportation contracts, intra-group contracts, brokerage contracts, etc.)
    • Pre-transactional documents, e.g., confidentiality agreements, letters of intent and term sheets
    • Credit management documentation (e.g., credit support annexes, letters of credit and guaranties)
    • Ancillary agreements related to the GEMS’ team scope (IT Vendor Contracts, Service Level Agreements, etc.)
  • Structure complex hedge and other commodity transactions
  • Partner with GEMS compliance professionals to ensure maintenance of the highest commitment to regulatory compliance and satisfactory resolution of any related inquiries
  • Act as a subject-matter expert on legal and regulatory developments of commodities, provide training on topical issues to GEMS colleagues
  • Provide legal support in relation to event-driven issues such as events of default, covenant breaches, claims of force majeure, acceleration, and enforcement and reservation of rights while advising on the impact on the company’s financial position
  • Supervise external counsel in managing complex transactions, regulatory inquiries and commercial litigation
  • Collaborate frequently with other GEMS stakeholders and management, particularly the Origination, Trading, Credit and Compliance groups, on day-to-day activities and transactional, regulatory and compliance-related issues
  • Assist in preparing legal risk memos and presenting material projects to origination and other internal committees for approval
  • Comply with and support the ethics, compliance and other applicable policies and procedures of ENGIE Group and GEMS, and work cooperatively with the personnel charged with implementing and monitoring same
  • Act as a team member with all employees
  • Carry out other duties as assigned

What you bring:

  • Must have a Juris Doctor (JD) from an ABA accredited law school
  • Must be licensed to practice law in one of the fifty (50) United States
  • A minimum of seven (7) or more years of law firm and/or in-house experience in positions relevant to wholesale U.S. power and gas markets.
  • Excellent drafting skills
  • Strong business acumen
  • Expertise in structured finance and secured hedge transactions
  • Ability to achieve commercial objectives while identifying and mitigating legal and other risks
  • Entrepreneurial mindset in pursuit of new, innovative transaction structures
  • Proven organizational and project-management skills, attention to detail and ability to work in a fast-paced and dynamic environment

Additional Information/Conditions:

  • Must be eligible to work for any U.S. employer without the need for sponsorship now or in the future
  • Must be available to travel up to 10% via airplane, car, and train as required
  • Ability to travel domestically and internationally on limited occasions
  • Must be willing and able to comply with ENGIE’s policy with respect to COVID vaccination and testing
  • Must be willing and able to comply with all ENGIE ethics and safety policies
  • Ability to meet highest attendance requirements
  • Ability to handle multiple assignments on a timely basis with a high degree of accuracy

  • Salary Range: $137,700-$350,480 USD, annually
  • Actual salary offered may vary depending on geography, experience, education, internal pay alignment, or other bona fide factors
  • In addition to salary, this position is eligible for a competitive bonus / incentive plan
